REFERRAL PARTNER PROGRAMME

Terms & Conditions

Effective Date: 31 October 2026
Version: 1.0

1. About the Programme

The Candidate Referral Programme is operated by Xperteez Technology Pvt. Ltd. ("Xperteez", "Company", "we", "us" or "our").

The programme enables individuals, professionals, independent referrers and other interested parties ("Referral Partners" or "Partners") to introduce suitable candidates from their professional networks for employment opportunities shared by Xperteez.

Referral Partners may receive a fixed referral reward for eligible successful placements, subject to the conditions outlined in these Terms & Conditions.

This programme is intended solely for candidate referrals and introductions. It does not constitute a recruitment vendor, staffing, manpower outsourcing, subcontracting or placement agency engagement.

2. Nature of the Referral Arrangement

Under this programme:

  • The Referral Partner is only responsible for introducing a suitable prospective candidate and sharing their profile with Xperteez through the designated submission channel.

  • Xperteez independently reviews, evaluates and processes the referred profiles.

  • Xperteez manages the overall recruitment workflow and facilitates coordination with the hiring client.

  • Interviews, assessments, selection decisions, offer issuance, onboarding and employment-related formalities are handled by the hiring client, with facilitation from Xperteez as applicable.

  • The Referral Partner is not required to coordinate interviews, conduct assessments, negotiate compensation, collect documents on behalf of the client or manage the candidate's hiring journey.

The Referral Partner shall not be considered an employee, agent, representative, staffing vendor, recruitment subcontractor or authorised representative of Xperteez or any of its clients. The Referral Partner shall not have authority to make commitments, issue offers, negotiate commercial terms or represent Xperteez or its hiring clients.

3. Referral Opportunities and Reward Structure

The referral reward will be communicated separately for each active hiring requirement through an official email, programme communication or written mandate.

For the current hiring programme, the following fixed referral rewards apply:

Position & Referral reward

  • Business Development Associate (Consultative Sales), Referral reward: ₹20,000

  • Trainer (Soft Skills / Social & Emotional Learning / Corporate Training / Leadership Development), Referral reward: ₹25,000

The above amounts are:

  • Fixed, one-time rewards for each eligible successful candidate referral.

  • Not linked to a percentage or revenue-sharing arrangement with the hiring client.

  • Gross payout amounts before applicable statutory tax deductions.

  • Inclusive of the Referral Partner's normal sourcing, communication and other incidental expenses.

  • Not subject to any additional expense reimbursement unless expressly approved in writing by Xperteez.

GST, if legally chargeable, will be handled in accordance with applicable law and the specific written commercial approval, if any.

The applicable reward will be determined by the actual position against which the referred candidate is successfully hired, subject to the relevant mandate terms.

A candidate will qualify for only one referral reward for a single successful joining, irrespective of the number of submissions or job categories through which the candidate may have been referred.

Xperteez reserves the right to introduce, modify, suspend or discontinue specific referral opportunities and reward amounts prospectively. Such changes will not retrospectively alter the reward for an already accepted referral unless mutually agreed in writing.

4. Referral Submission Process

All candidate referrals must be submitted through the designated referral submission form or another channel specifically approved by Xperteez in writing.

The Referral Partner must provide:

  • Candidate's full name.

  • Valid contact number and email address.

  • Updated resume or professional profile.

  • Relevant experience and other role-specific information.

  • The particular job position against which the candidate is being referred.

  • Confirmation that the candidate has authorised the sharing of their profile.

Incomplete, inaccurate, unauthorised or duplicate submissions may be rejected.

A submission receipt or automated confirmation only confirms receipt of information. It does not automatically constitute acceptance of the referral or confirmation of referral ownership.

Xperteez will verify candidate attribution and eligibility before acknowledging an eligible referral.

5. Candidate Attribution and Duplicate Referrals

Referral eligibility will be determined based on the earliest complete, valid and authorised submission received through the designated Xperteez channel.

A referral will ordinarily qualify only where:

  • The candidate has not already been introduced by Xperteez to the same hiring client for the relevant position within the applicable attribution period.

  • The candidate is not already in an active recruitment process for the same or substantially similar opportunity.

  • The candidate has not already applied directly or been submitted through another recognised source before the Referral Partner's valid submission.

  • The referral is made before Xperteez introduces the candidate to the hiring client.

Where multiple Referral Partners submit the same candidate, the earliest valid and complete submission supported by the system records will ordinarily receive attribution.

Where a candidate was already under active consideration, had an existing application, or was previously introduced to the relevant hiring client, the referral may be treated as a duplicate and may not qualify for a reward.

Xperteez shall determine attribution based on its ATS records, submission timestamps, communication history and, where necessary, information obtained from the hiring client.

6. Referral Attribution Validity

An accepted referral will remain attributable to the Referral Partner for twelve (12) months from the date of its valid submission, provided the candidate was referred against the specified opportunity.

Where the candidate remains in an active interview, assessment, offer or selection process initiated through Xperteez at the end of this period, the attribution may continue until ninety (90) days after that process is formally closed or withdrawn.

A referral reward will be payable only where the candidate's eventual hiring is attributable to the accepted referral and meets the applicable commercial and eligibility conditions.

Referrals are requirement-specific. A candidate's selection against a different role, client or hiring requirement shall not automatically qualify for a reward unless expressly approved by Xperteez in writing.

7. Conditions for Earning a Referral Reward

A referral reward becomes eligible for payment only after both of the following conditions have been fulfilled:

Condition 1: Successful joining and 90-day completion

The candidate must:

  • Successfully join the hiring client.

  • Remain continuously employed or engaged with the hiring client for at least ninety (90) calendar days from the Date of Joining.

  • Complete the 90-day period without resignation, termination or discontinuation of the relevant employment or engagement before completion.

Condition 2: Receipt of client payment

Xperteez must receive the full applicable recruitment or placement fee from the hiring client for the respective candidate in cleared funds.

The receipt of a part-payment, pending invoice, verbal payment confirmation or payment commitment from the client shall not be treated as completion of this condition.

Both conditions must be fulfilled before a referral reward becomes payable.

8. Referral Payout Timeline

The referral reward shall be released within fifteen (15) business days after the later of:

  1. The candidate's completion of ninety (90) calendar days of continuous employment; and

  2. Xperteez's receipt of the full applicable placement fee from the hiring client in cleared funds.

The payment will also be subject to the Referral Partner providing the necessary payment and statutory tax documentation requested by Xperteez.

Where the hiring client delays, disputes, withholds or fails to release the applicable placement fee, the referral reward shall remain on hold until the relevant payment condition is satisfied.

If Xperteez does not receive the applicable placement fee from the hiring client, no referral reward shall become payable under this programme.

A candidate's joining, selection, offer acceptance or completion of ninety days, by itself, shall not create an unconditional payment obligation on Xperteez.

Once an eligible referral reward has been released, it shall not ordinarily be reversed solely due to a subsequent replacement exercise, except in cases involving fraud, material misrepresentation, duplicate payment, erroneous payment or other circumstances requiring recovery under applicable law.

9. Invoicing, Taxes and Payment Documentation

The referral programme is designed to minimise administrative formalities for individual Referral Partners.

No separate commercial invoice will ordinarily be required from an individual Referral Partner who is not registered under GST and is not otherwise legally required to issue an invoice for the relevant supply.

Xperteez may process such payments using its internal payment records, payment advice, self-declaration or other appropriate supporting documentation.

However:

  • A Referral Partner registered under GST or otherwise legally required to issue a tax invoice must comply with the applicable statutory invoicing requirements.

  • GST treatment will be determined in accordance with applicable law. No additional GST amount will be payable over the stated reward unless Xperteez expressly agrees otherwise in writing.

  • Xperteez shall deduct tax at source wherever required under applicable income-tax laws.

  • The Referral Partner may be required to provide PAN, bank account details, tax declarations, GST particulars, identity verification or other documents necessary for compliant payment processing.

  • Applicable TDS certificates shall be provided in accordance with statutory timelines.

The Referral Partner shall be responsible for their own income-tax filings, declarations and other tax obligations.

No referral reward will be processed through an unverified payment arrangement or against incomplete or inaccurate payment details.

10. No Charges to Candidates

The Referral Partner shall not:

  • Charge any candidate a registration, application, interview, placement, processing or referral fee.

  • Collect any money or consideration from a candidate in connection with an opportunity shared by Xperteez.

  • Promise guaranteed employment, interview selection or offer issuance in exchange for payment.

  • Misrepresent the programme as a paid recruitment or placement service for job seekers.

All employment opportunities facilitated through Xperteez are free of charge to candidates.

Any violation may result in immediate suspension of the Referral Partner and cancellation of pending referral eligibility, subject to applicable law.

11. Candidate Information, Consent and Data Protection

The Referral Partner shall obtain the candidate's prior, informed permission before sharing their resume, contact details or other personal information with Xperteez.

The Referral Partner confirms that:

  • The candidate is aware that their profile is being shared for recruitment consideration.

  • The candidate has authorised Xperteez to review and, where appropriate, forward their profile to the relevant hiring client.

  • The information supplied is accurate to the best of the Referral Partner's knowledge.

  • The candidate information has not been obtained through unlawful, unauthorised or deceptive means.

The Referral Partner shall not disclose candidate information to any unrelated third party or use the information for purposes unrelated to the specific recruitment opportunity.

The Referral Partner shall take reasonable steps to protect candidate information and promptly notify Xperteez of any unauthorised disclosure, loss or misuse of personal data.

Xperteez will process candidate information in accordance with its applicable Privacy Policy and relevant data protection laws.

The Referral Partner shall cooperate with reasonable requests concerning correction, deletion or withdrawal of candidate information, where legally permissible.

12. Confidentiality and Client Information

All non-public information relating to Xperteez, its clients, business arrangements, vacancies, commercial terms, candidates and recruitment processes shall be treated as confidential.

The Referral Partner shall:

  • Not disclose the identity of an undisclosed hiring client to other recruiters, agencies or third parties.

  • Not publish vacancies, client names, logos, internal job descriptions or commercial arrangements on public platforms without prior written approval.

  • Not use Xperteez's client relationships, confidential information or candidate data for an unrelated commercial purpose.

  • Not directly approach or engage with a hiring client to circumvent Xperteez's involvement in the relevant referral or recruitment arrangement.

This clause does not prevent the candidate from independently communicating with the hiring client during the normal interview and selection process.

Confidentiality obligations shall continue after the Referral Partner's participation in the programme ends.

13. Accuracy and Conduct

The Referral Partner shall exercise reasonable care while introducing candidates and shall not knowingly submit:

  • Fabricated or altered resumes.

  • False employment or educational credentials.

  • Misrepresented experience, compensation or availability details.

  • Candidate profiles submitted without the candidate's knowledge or permission.

  • Profiles previously submitted through another source without disclosing the known conflict.

The Referral Partner shall not engage in fraud, bribery, impersonation, unauthorised access to systems, manipulation of candidate information or any unlawful recruitment practice.

Xperteez reserves the right to reject questionable profiles, suspend referral access or discontinue participation in the programme.

14. Independent Relationship

The Referral Partner participates as an independent referral source.

Nothing in these Terms shall establish:

  • An employer-employee relationship.

  • A partnership or joint venture.

  • An agency or representative relationship.

  • A staffing or manpower supply arrangement.

  • A recruitment subcontracting arrangement.

The Referral Partner shall not represent themselves as an employee, recruiter, authorised representative or official spokesperson of Xperteez or its clients.

The Referral Partner shall not assign or subcontract their rights or responsibilities under these Terms without prior written approval from Xperteez.

15. No Guarantee of Opportunities or Placements

Participation in the programme does not guarantee:

  • A minimum number of vacancies.

  • Acceptance of every referred candidate.

  • An interview or assessment opportunity.

  • Selection, offer issuance or joining.

  • A minimum amount of referral earnings.

Xperteez and its hiring clients retain the right to shortlist, reject, defer, pause or close any hiring requirement at their discretion.

Xperteez may suspend or discontinue a referral opportunity at any time, subject to the rights already accrued in respect of previously accepted referrals.

16. Indemnification

The Referral Partner shall be responsible for losses, third-party claims and reasonable enforcement costs directly arising from their fraud, wilful misconduct, material misrepresentation, unauthorised disclosure of confidential information, unlawful collection or sharing of personal data, or material breach of these Terms.

Xperteez shall not be responsible for independent representations, commitments, promises or actions undertaken by the Referral Partner without written authorisation.

17. Suspension and Termination

Xperteez may suspend or terminate a Referral Partner's participation where:

  • The Referral Partner breaches these Terms.

  • False, misleading or unauthorised candidate information is submitted.

  • Candidate confidentiality or data protection is compromised.

  • Fraudulent, unethical or unlawful conduct is identified.

  • The Referral Partner attempts to circumvent Xperteez's client relationships.

  • Continued participation is considered commercially or operationally inappropriate.

Either party may discontinue participation in the programme by written communication.

Termination shall not automatically extinguish referral attribution or eligible reward rights already earned under these Terms, provided all applicable conditions are subsequently fulfilled.

No new referrals submitted after termination shall qualify unless expressly accepted by Xperteez in writing.

18. Limitation of Liability

Xperteez shall not be liable for indirect, incidental or consequential losses arising out of the Referral Partner's participation in the programme, including anticipated earnings, lost business opportunities or third-party decisions.

To the extent permitted by law, Xperteez's aggregate liability in relation to an individual referral shall not exceed the applicable referral reward payable for that referral.

Nothing in this clause excludes liability that cannot legally be excluded or limits rights or remedies available under mandatory law.

19. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India.

The parties shall first attempt to resolve disputes through good-faith discussions and written communication.

Where a dispute cannot be resolved amicably, it shall be subject to the jurisdiction of competent courts at Kolkata, West Bengal, subject to applicable mandatory statutory rights and forums.

20. Amendments and Electronic Acceptance

Xperteez may revise these Terms from time to time. Revised versions shall be published with an updated effective date or version number.

Changes shall apply prospectively and shall not retrospectively reduce rewards for already accepted referrals, except where required by law or agreed in writing.

By selecting the acceptance checkbox and submitting a candidate referral through the designated Xperteez submission channel, the Referral Partner confirms that they have read, understood and agreed to these Terms & Conditions.

Electronic acceptance and associated submission records shall be retained by Xperteez as evidence of participation in the programme.
